Informing and communicating with Shareholders
Toll is committed to keeping shareholders fully
informed regarding developments and important information
affecting the group. It will endeavour to do so using plain
English, with transparency and openness.
Toll uses a range of channels to achieve these
objectives and continues to seek additional and more effective
ways to enhance communications with its shareholders. It aims
to provide a level playing field for the provision of information
to all shareholders.
Currently information is distributed to shareholders
in the following ways:
- In the Notice and explanatory memoranda of the Annual
General Meeting (AGM) (see below).
- At the Toll Group AGM, (see below).
- In the Annual Report.
- In disclosures to the Australian Stock Exchange
- By constantly maintaining the currency of information
posted under the Shareholder Information section on the
Companys website at Toll.com.au. This comprises:
Annual General Meeting
The Notice of Annual General Meeting indicates
the time, date and location of the meeting, provides details
of the business to be considered by shareholders and information
about each of the candidates standing for election or re-election
as a director. It is usually held in October.
The Annual General Meeting is the main opportunity
for shareholders to hear the Managing Director and Chairman
provide updates on Company performance, ask questions of the
Board, and to express a view and vote on the various matters
of business on the agenda. Shareholders may also ask questions
of the Companys auditors at the meeting regarding the
conduct of the audit and preparation and content of the auditors
report. Shareholders unable to attend in person may appoint
a proxy to attend and vote on their behalf, or they may view
the webcast of the meeting.
Keeping shareholders up-to-date
Tolls Continuous
Disclosure Policy aims to ensure shareholders and stakeholders
have immediate access to news and information of a material
or price sensitive nature affecting the Company, as required
to be disclosed in accordance with the ASX Listing Rules.
